Prof. Müller of University of Trier Lectured in Tongji Law School

On May 3rd, Professor Hans-Friedrich Müller from University of Trier, gave a special report entitled “Exploration on Legal Issues of the Transaction between Equity Companies and Related Parties under German and European Law” for the teachers and students of Tongji Law School. The report was presided over by Professor Gao Xujun, director of Sino-German International Economic Law Institute and director of International Law Teaching Department.


Professor Müller first introduced the Konzernrecht (also known as German enterprise association law), and defined the concept of related transactions. Then he analyzed the possible problems in the transaction between the equity company and its related parties, and introduced the regulation of existing German law to this problem. Finally, he explained the new regulation on related party transactions issued by the European Commission in 2017, and gave us a detailed introduction to the discussion caused by this provision in German academia.


The special report was conducted in German and lasted for more than an hour. Professor Peter Ganea, deputy director of Sino-German International Economic Law Institute, attended the lecture. After the report, teachers and students of Tongji Law School and Professor Müller had a discussion for more than 20 minutes. The students and Professor Gao Xujun raised many practical problems, such as the difference between Chinese and German regulations on this issue, how to clarify some special concepts in German law, etc. Professor Müller explained these issues based on his profound theoretical research background. The specific explanation enabled students to have a further understanding of transactions between equity companies and related parties under German law and EU law.
